KBC buys back only 15% of targeted EIBank shares

Belgian financial group KBC has managed to repurchase 15% of the shares it was targeting with a buyout pitched to the minority shareholders of Bulgarian Economic and Investment Bank (EIBank), said the Sofia stock exchange.

KBC redeemed close to 23,000 shares at 110.34 levs to bulk up its EIBank stake to over 76%.

However, the majority owner controls a larger share indirectly under an agreement with Tsvetelina Borislavova, a 22.25% shareholder in the lender.

At the time the tender offer was made, KBC said it wanted to delist the bank.

Local legal experts could not say if that would be possible in light of the small percentage of shares that were repurchased.

Under the local delisting regulations, a corporation could revert to a private status only after at least half of the shares targeted by the tender offer are repurchased.

Delisting is also possible if the move is backed at a general meeting where the majority owner is allowed to vote only with the shares redeemed during the buyback. Under this scenario, it is not clear if Borislavova would be able to vote with her 22% since the agreement with KBC was signed before the tender offer took effect.
